Talent Agreement

This Talent Agreement governs the relationship between independent professionals ("Talent", "you") and Tara Trade International LLC, a Wyoming limited liability company doing business as The Booking Agency ("we", "us", "our"). It supplements the Terms of Service and the Privacy Policy.

By creating a Talent profile on bookingagency.io you agree to this Talent Agreement.

1. Independent contractor status

You are an independent professional. You are not our employee, agent, partner, or joint venturer. No employment relationship, agency, franchise, or fiduciary relationship is created between you and us. You are responsible for your own taxes, insurance, business registration, and compliance with the laws of your jurisdiction.

2. Your profile

You agree to provide accurate information on your profile. You may not impersonate another person, misrepresent your skills or experience, copy another professional's profile content, or list services you cannot legally provide in the jurisdictions you advertise.

You may edit, hide, or delete your profile at any time from your dashboard.

3. Content ownership and license

You retain full ownership of all content you upload to your profile (photos, portfolio pieces, descriptions, videos). You grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your profile content on the Platform and in marketing materials for the Platform itself, for the duration of your account being active plus 90 days after deletion (for caching and archival purposes).

4. Your role and ours in a booking

1. Independent talent. Talent listed on The Booking Agency ("TBA") are independent providers. They are not employees, workers, or agents of TBA, and TBA is not their employer or principal. Talent set their own availability, choose which bookings to accept, and control how they deliver their services.

2. TBA acts as agent and facilitator. When a client books talent through TBA, the contract for the services is between the client and the talent. TBA acts as agent and facilitator on behalf of the talent: we introduce the parties, administer the booking, collect payment as agent on behalf of the talent, and remit that payment to the talent after deducting our commission. TBA is not a party to the underlying services contract and is not responsible for the performance, quality, or outcome of the talent's work.

3. Payment. The client pays the full price shown at the time of booking. TBA collects that payment as agent for the talent, holds it, and pays the talent the amount due after deducting a total fee of 15%, which is borne by the talent. That 15% consists of a 10% platform fee and a 5% charge for payment handling and payouts. The 15% is inclusive of VAT where VAT applies. Payment is released to the talent 5 to 7 working days after the booked engagement takes place, unless a dispute is open. Payments are processed through Stripe.

4. Talent responsibilities (confirmed at onboarding). Each talent confirms, at onboarding, that: (a) they are legally entitled to perform the work, including in the location where it takes place; (b) they are responsible for their own income tax, VAT, and social contributions on what they earn; and (c) they carry their own insurance where needed, and understand that TBA provides none. These are self-declarations. TBA does not verify right to work, tax status, or insurance, and does not check or hold supporting documents.

5. No insurance from TBA. TBA provides no insurance of any kind in connection with bookings or with the talent's services. Any insurance is the talent's own responsibility.

6. Client acknowledgment. When booking, the client acknowledges that they are engaging independent talent and that TBA acts as agent and facilitator, not as the employer or principal of the talent.

7. Our own tax reporting. TBA's own tax and platform-operator reporting obligations (including any reporting such as DAC7) are separate from, and do not affect, the talent's personal tax responsibilities set out above.

5. Subscription fees

If you subscribe to a paid plan (Premium, Pro, Elite), Stripe Inc. processes the payment on our behalf. You may cancel at any time from your dashboard. See the Refund Policy for refund terms.

6. Conduct

You agree not to:

  • Use the Platform to harass, defraud, or harm clients or other Talent
  • Post discriminatory, hateful, or illegal content
  • Solicit payments outside the booking scope agreed with a client
  • Scrape, mirror, or republish the Platform's data
  • Circumvent platform features (rate limits, verification, content moderation)

We may suspend or terminate your account for breaches of this section without refund.

7. Reviews and feedback

Clients may post reviews of your work after a booking. You may respond once publicly. We do not arbitrate the content of reviews unless they violate our community guidelines or applicable law.

8. Termination

You may delete your account at any time from your dashboard. We may suspend or terminate your account if you breach this Agreement or the Terms of Service.

Upon termination, your profile is removed from public search within 7 days. Subscription fees already paid are not refunded except as set out in the Refund Policy.

9. How disputes about the work itself are handled

TBA acts as agent and facilitator, described in Section 4 above and in the Terms of Service. Payment and cancellations are administered by TBA under the published cancellation policy. For any disagreement about the quality, scope, or delivery of the work itself, such as a client claiming the work is unsatisfactory, you and the client remain responsible for resolving it directly; TBA does not arbitrate the quality of the work performed. Disputes between you and us (about your subscription, account, or platform access) are handled under the Dispute Resolution policy.

10. Changes to this Agreement

We may update this Agreement from time to time. We will notify you by email and update the version number at the top. Continued use of the Platform after an update means you accept the new version.
